What Brenda does, what it does not do, and who is responsible for what.
Version 1, 7 September 2026. Between you and Sonic Blue Tech Ltd, company number 12789740, The Old Dairy, 1 Whitebushes, Redhill, Surrey, RH1 5LN.
Brenda is bookkeeping software. It records the money going in and out of your business, sorts it into categories, works out figures from those records, and where you ask it to, submits those figures to HMRC on your behalf.
Brenda is not an accountant, a tax adviser or a financial adviser, and using it does not create a professional relationship of that kind. It does not advise you on what you may claim, how to structure your affairs, or whether a cost is allowable in your particular circumstances.
Brenda does not calculate the tax you owe. Where a tax figure is shown, it has come from HMRC.
Brenda calculates figures from the records it holds: totals for a VAT return, a profit and loss, the boxes on a self employment page. Those calculations are the software's responsibility and we intend them to be correct.
What the records say is yours. Brenda cannot know whether a receipt is genuine, whether a payment was business or personal, whether a category is the right one, or whether something is missing entirely. Where information is imported from a bank, a card processor or a document, Brenda reports what that source provided.
Where Brenda has worked something out rather than read it, it says so, and where it has assumed something it says that too. Those are the points to check.
You are responsible for:
Brenda asks you to confirm before anything is filed, and records what you were shown and what you decided. Approving a submission is your act, not ours.
If you believe a figure is wrong, tell us and we will investigate. Where the error is in Brenda's calculation we will correct it, and help you correct anything filed as a result.
We are not responsible for a filing that is wrong because the underlying records were wrong, incomplete or miscategorised, or because information from a connected source was inaccurate.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else which cannot lawfully be limited.
Subject to that, and to the extent the law allows:
If you are a consumer, this clause does not affect your statutory rights.
Some of Brenda is free to use and some is not. What each plan includes, and what it costs, is shown in the app before you subscribe. Paid plans are billed monthly in advance through Stripe, and we never see or store your card details.
You can stop a paid plan at any time. It runs to the end of the period you have paid for and is not refunded in part. If a payment fails we will tell you and try again; if it keeps failing we may move you to the free plan rather than close your account, so that you keep access to your records.
If we change what a plan costs, we will tell you at least 30 days beforehand, and you can stop before the new price applies.
You can close your books whenever you like, from the settings menu. Before you do, Brenda shows you exactly what is removed and what is kept, and offers you a copy of everything.
Some records are kept even after you close. HMRC requires tax records to be kept for six years after the tax year they belong to, and that obligation is yours as much as ours, so your books, receipts and filed returns stay for that period. You keep access to read and export them. After six years they are deleted.
We may suspend or end your access if you use Brenda unlawfully, or in a way that damages the service for other people. If we ever stop offering Brenda altogether, we will give you at least 90 days' notice and a way to take everything with you.
Brenda is not guaranteed to be available at any particular moment, including at a filing deadline. Filing deadlines are yours to meet, and HMRC accepts submissions by other means.
What we hold, why, and on what lawful basis is set out in the privacy policy, which forms part of these terms. If you need a data processing agreement covering the information about your own customers that appears in your receipts, ask and we will provide one.
We may change these terms. If a change materially affects you, we will tell you at least 30 days beforehand and you can stop using Brenda before it takes effect. The version and date at the top of this page tell you which terms you are looking at.
Creating an account, or continuing to use Brenda after these terms are published, means you accept them.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident elsewhere in the United Kingdom, you may bring proceedings in your own jurisdiction.
